Item 8.01 Other Events.

On December 22, 2014, Oragenics, Inc. (the “Company”) issued a press release announcing the intention to explore strategic alternatives for its OTC Probiotic Product Business, approval of the Company’s 2015 budget and the continued assistance being provided by Board Members to Management. A copy of this press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
