The Company’s
Form 10-Q for the quarter ended March 31, 2009 could not be completed by the
Company without unreasonable effort or expense due to the Company’s
significantly limited financial resources at the present time. While the Company
expects its Form 10-Q to be filed within the next five days, there can be no
assurance that it will be able to do so.
